THIS ADVERTISING AGREEMENT ("Agreement") is made between Hong Kong Veterinary Association ("HKVA"), an association representing the interests of its members who are registered veterinary surgeons ("the Members") and any person (including any Member) ("Advertiser"), who wants to publish an online classified advertisement on HKVA's website for a period of 3 months upon the execution of this Agreement ("Advertising Services").
The Advertiser agrees to make payment to HKVA in accordance with the fee description listed on http://www.hkva.org/classads.asp ("Services Fees") for HKVA's Advertising Services.
HKVA and Advertiser are collectively referred to as "parties" or individually as "party".
IT IS HEREBY AGREED AS FOLLOWS:-

1. |
ADVERTISING SERVICES |
|
|
In consideration of the payment of Services Fees, HKVA shall provide the Advertising Services to the Advertiser. |
|
2. |
PAYMENT OF SERVICE FEES |
|
2.1. |
In consideration of the provision of Advertising Services by HKVA, the Advertiser shall pay Services Fees to HKVA in accordance with the fee description listed on the HKVA website at http://www.hkva.org/classads.asp. |
|
2.2. |
Advertisers (whether Members or non-HKVA members) are required to pay Services Fees to HKVA before an advertisement is placed by HKVA in the classified advertisements section of the HKVA website. |
|
3. |
TERM AND TERMINATION |
|
3.1. |
The term of this Agreement shall take effect from the date of this Agreement and the advertisement will remain published on HKVA's website for 3 months from the date of payment of Services Fees by the Advertiser. |
|
3.2. |
HKVA is entitled to terminate this Agreement if the conditions under Clause 4 of this Agreement are violated. In the event of termination, HKVA is not required to refund the Advertiser for the pro-rata portion of the Services Fees. |

4. |
REMOVAL OF ADVERTISEMENTS |
|
|
HKVA reserves the right to remove any advertisement from publication with immediate effect at its sole discretion, including but not limited to under the following circumstances: |
|
4.1. |
Where it is brought to the HKVA's notice that the Advertisement is in breach of any law or regulation in Hong Kong; and/or |
|
4.2. |
Where HKVA considers the Advertisement is not in the interest of its Members. This may include, but not be limited to, circumstances where there is a judgment/order from a Court/Tribunal against the Advertiser (whether or not the Advertiser is also a Member) for the withholding of payment (whether salary or otherwise) from a Member or non-Member by the Advertiser, for the provision of veterinary services by a Member or non-Member to the Advertiser. |

5. |
CONFIDENTIALITY |
|
|
The Parties agree to keep the terms of this Agreement confidential. |
|
6. |
ENTIRE AGREEMENT |
|
|
This Agreement is the entire agreement of the Parties about the subject matter of this Agreement and supersedes any representations, negotiations, arrangements, understandings or agreements and all other communications. |
|
7. |
VARIATION |
|
|
No variation of this Agreement shall be valid unless it is in writing and signed by or on behalf of each of the Parties to it. The expression variation shall include any amendment, supplement, deletion or replacement however effected. |
|
8. |
SEVERABILITY |
|
|
If any part or provision of this Agreement is found to be unenforceable or invalid, this will not affect the enforceability or legality of the remainder of this Agreement, which will remain in full force and effect. |
|
9. |
ASSIGNMENT |
|
|
The Advertiser shall not assign any of its right under this Agreement to any third party. |
|
10. |
GOVERNING LAW AND JURISDICTION |
|
|
The construction, validity and performance of this Agreement shall be governed Hong Kong law and the Parties irrevocably agree that the courts of Hong Kong shall have exclusive jurisdiction over any claim or matters arising under or in connection with this Agreement, including the construction, existence, validity or termination of this Agreement. |
Acceptance of the terms and conditions of this Agreement by the Advertiser
By ticking the "I accept to the terms and conditions" box, the Advertiser expressly agrees to be bound by all the terms and conditions of this Agreement.
